What do you check in a real estate due diligence review?

The chain of title back to its origin, the land register extract with all encumbrances, mortgages, easements, the existence of disputes or annotations, the planning status, the legal regime of the land and, where relevant, the status of restitutions. We deliver a report with the identified risks and what can be done about each.

Why does the tax structuring of the transaction matter?

The same operation can generate very different tax burdens depending on the chosen form, the capacity of the parties and the timing of the transfer. We analyse the legal and the tax variant together, because the lead lawyer is also a tax consultant.

What is a preliminary agreement and why do I need one?

It is the bilateral promise by which the parties undertake to conclude the final contract at a future date, usually after certain conditions are met. It is the instrument that protects you in the interval between the agreement and signing before the notary, if drafted correctly.

Do you also work with investors from outside România?

Yes. The regime governing the acquisition of land by foreign citizens and foreign companies has particularities, and the required documentation differs. We check it before the transaction starts, not in the middle of it.
