Commercial contracts lawyer in Galați
We draft, review and negotiate commercial and civil contracts, focusing on the clauses activated when something goes wrong: warranties, penalties, force majeure, termination, jurisdiction. A well written contract is the cheapest form of legal assistance, because it prevents the dispute instead of winning it.
How we can help
- Drafting sale, services, supply and distribution contracts
- Reviewing contracts received from partners, with a risk list
- Negotiating price, warranty, penalty and liability limitation clauses
- Construction works and building contracts
- Lease, leasing and loan-for-use contracts
- Confidentiality and intellectual property clauses
- Termination notices, formal notices of default and rescission
- Disputes over non-performance of contracts and compensation claims
How a case unfolds
Understanding the deal
Before writing a line, we establish what each party pursues, where the money is and what happens if things do not go according to plan. A contract copied from a template rarely covers exactly the risks of your deal.
Drafting or reviewing
We draft the contract or, if you receive it from a partner, analyse it and hand you a list of high, medium and low risk observations, together with the proposed replacement wording.
Performance and incidents
When non-performance appears, we prepare the formal notice of default and the termination notice in the form required by the contract and by law. Formal steps taken incorrectly at this point weaken the position in any eventual lawsuit.

Frequently asked questions
Is it worth paying a lawyer for an ordinary contract?
Compare the cost of the review with the value of the deal and with the cost of a lawsuit. In most cases, reviewing a contract costs a fraction of what recovering the same amount in court would cost, and takes days rather than years.
What is a formal notice of default and why does it matter?
It is the notice by which you formally ask the other party to perform its obligation. In many situations, without it penalties do not start running and rescission cannot be sought. Its form and deadline depend on the contract and on the law, so it is not merely a formality.
Can I terminate a contract if the partner fails to meet its obligations?
As a rule yes, but the manner matters. If the contract contains a forfeiture clause, termination can operate without going to court, under the conditions provided there. If not, it must be requested from the court. A wrongly executed termination can turn you from creditor into the party that breached the contract.
Which clauses do you always check in a received contract?
The subject matter and price, deadlines and acceptance conditions, warranties, penalties and their cap, limitation of liability, force majeure, termination conditions, confidentiality, the applicable law and the competent forum. The last two look formal and decide where and under which rules you will litigate.
