Is it worth paying a lawyer for an ordinary contract?

Compare the cost of the review with the value of the deal and with the cost of a lawsuit. In most cases, reviewing a contract costs a fraction of what recovering the same amount in court would cost, and takes days rather than years.

What is a formal notice of default and why does it matter?

It is the notice by which you formally ask the other party to perform its obligation. In many situations, without it penalties do not start running and rescission cannot be sought. Its form and deadline depend on the contract and on the law, so it is not merely a formality.

Can I terminate a contract if the partner fails to meet its obligations?

As a rule yes, but the manner matters. If the contract contains a forfeiture clause, termination can operate without going to court, under the conditions provided there. If not, it must be requested from the court. A wrongly executed termination can turn you from creditor into the party that breached the contract.

Which clauses do you always check in a received contract?

The subject matter and price, deadlines and acceptance conditions, warranties, penalties and their cap, limitation of liability, force majeure, termination conditions, confidentiality, the applicable law and the competent forum.
